LOTTOMATICA SUBSIDIARY, GTECH CORPORATION, AND MEDSTROMS AB INCREASE PUBLIC CASH OFFER TO SEK 25 (€2.66) PER SHARE FOR BOSS MEDIA AB
BOSS MEDIA BOARD OF DIRECTORS UNANIMOUSLY RECOMMENDS ACCEPTANCE OF OFFER
ROME (ITALY) - PROVIDENCE, RHODE ISLAND (US), February 13, 2008 - Lottomatica S.p.A.'s wholly-owned subsidiary, GTECH Corporation, and Medst röms AB announced today that the public cash offer to the shareholders of Boss Media AB to acquire all outstanding shares of Boss Media has been increased to SEK 25.00 (€2.66), from SEK 19.00 (€2), per outstanding share.
In addition, Boss Media's Board of Directors, supported by a fairness opinion rendered by HDR Partners, unanimously recommended to the shareholders of Boss Media to accept the offer.
Boss Media Chairman Meg Tiveus said, “A combination between Boss Media and GTECH is industrially sound. We think the prerequisites for GTECH and Boss Media to create a competitive supplier alternative in an expansive industry are favorable. The revised cash offer presented by GTECH and Medströms , as a consequence of the process conducted, means that Boss Media's shareholders receive a substantially higher price for their shares compared to the share price prior to the initiation of the process.”
GTECH CEO Jaymin B. Patel said, “We are pleased that our revised competitive offer has received the unanimous endorsement of the Board of Boss Media. We now look forward to working together with Boss Media in the acceleration of its international growth strategy.”
With the exception of the increased offer price, the same conditions for the offer previously announced on February 1, 2008, including the right to waive such conditions, will apply.
GTECH and Medströms own approximately 28.6 percent of the share capital and votes in Boss Media.
